Sole proprietorship- Empresa em nome Individual

In this country, the most common business form is a sole proprietorship, referred to as Empresa em nome Individual. It is a business owned and run by an individual. A proprietor is a natural person, which is not distinguished from the business by the law, and their liability is not limited. The owner is personally responsible for all assets and debts with all their fortune. This business form is the easiest to establish and maintain. It is highly flexible to the changing business environment and decisions can be executed promptly.

Any natural person can start a sole proprietorship, and each person can own only one business. Foreigners are required to have a work and residence permit. The owner operates a sole proprietorship under their own name, with the addition E.I.

Registration process

To start a sole proprietorship in Mozambique, you have to register with the authorities first.

The first step is to visit One Stop Shop (Balcão de Atendimento Único) office (Maputo location) and ask for a sole proprietorship registration. You will need to provide:

  • Identity card, driver’s license, valid voter card, passport (for locals);
  • DIRE or passport with a valid business visa or permit of permanent residence (for foreigners);
  • Unique Tax Identification Number (NUIT).

A fee of MZN 3,996.00 will be charged. After the payment, your application is submitted. You will obtain the certificate of registration in a few days.

Taxes in Mozambique

The sole proprietor’s only obligation is to pay taxes regularly. The personal income tax for individuals is paid to the Tax Authority, and it is done by filing a single form. Taxation is made under the category Business and Professional Income. The tax rates depend on the amount of your income:

  • Under MZN 42,000: 10% 
  • MZN 42,000 - 168,000: 15%
  • MZN 168,000 - 504,000: 20%
  • MZN 504,000 - 1,512,000: 25%
  • MZN 1,512,000 and above: 32%.

The standard VAT rate in Mozambique is calculated at 17% of all goods and services. If your turnover is less than MZN 2,500,000, you are exempt from VAT.
